Mizanta Terms of Service

These Terms of Service govern access to and use of the Mizanta website, platform, demonstrations, applications and related services.

In these Terms, "Mizanta," "we," "us" and "our" refer to the operator of the Mizanta Services. "Customer" refers to an organization that receives authorized access to the Services. "User" refers to an individual who accesses or uses the Services.

By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on that organization's behalf.

If you do not agree to these Terms, do not use the Services.

1. The Mizanta Services

Mizanta provides software intended to support coffee traceability and operational workflows, including functions relating to:

  • Intake records
  • Batch and lot management
  • Processing activities
  • Weight movements
  • Facility inventory
  • Transfers
  • Supporting documents
  • Export preparation
  • Lot lineage
  • Traceability coverage
  • User and facility access
  • Controlled external information sharing

Specific functionality may vary by plan, implementation, pilot, organization configuration or stage of product development.

We may improve, modify, add or discontinue features over time. We will avoid making changes that materially undermine an active paid service without reasonable notice, except where a change is necessary for security, legal compliance or prevention of harm.

2. Eligibility and Organizational Authority

You must be legally capable of entering into a binding agreement to use the Services.

If you access Mizanta through an organization:

  • Your access is subject to that organization's authorization.
  • The organization may assign or change your roles and permissions.
  • The organization may access, manage, restrict or remove your account.
  • Your organization is responsible for determining which users should have access.
  • Your organization is responsible for activities performed through accounts it administers, except to the extent caused by Mizanta's breach of these Terms.

The Services are intended for professional and organizational use and are not directed to children.

3. Accounts and Credentials

You agree to provide accurate account information and keep it reasonably current.

You are responsible for:

  • Protecting your login credentials
  • Using a secure password
  • Preventing unauthorized use of your account
  • Signing out of shared devices
  • Promptly reporting suspected unauthorized access
  • Using only the account assigned to you

You may not:

  • Share credentials with unauthorized individuals
  • Access another person's account without permission
  • Attempt to bypass role or facility restrictions
  • Misrepresent your identity or authority
  • Create accounts through automated or deceptive methods

We may suspend access when we reasonably believe an account has been compromised or is being misused.

4. Customer Data

"Customer Data" means information, records, documents and other content submitted to the Services by or on behalf of a Customer or its Users.

As between Mizanta and the Customer, the Customer retains its rights in Customer Data.

The Customer grants Mizanta a limited, nonexclusive right to host, process, transmit, display, reproduce and otherwise use Customer Data only as reasonably necessary to:

  • Provide the Services
  • Follow the Customer's authorized instructions
  • Maintain security
  • Prevent or investigate misuse
  • Provide support
  • Comply with applicable law
  • Enforce these Terms

Mizanta does not acquire ownership of Customer Data merely because it is stored or processed through the Services.

5. Customer Responsibilities

The Customer is responsible for:

  • The accuracy and lawfulness of Customer Data
  • Obtaining necessary permissions to collect and use submitted information
  • Determining appropriate user access
  • Reviewing role and facility assignments
  • Maintaining its own operational procedures
  • Verifying records before relying on or sharing them
  • Determining which information may be made visible to buyers or other external parties
  • Complying with applicable laws, regulations, contracts and industry requirements
  • Maintaining independent records or backups where required by its operations or applicable law

Mizanta does not independently verify every record entered by a Customer.

The presence of information in Mizanta does not establish that the information is accurate, complete, authentic or legally sufficient.

6. Traceability and Compliance Disclaimer

Mizanta is a recordkeeping and operational traceability tool.

The Services may help Customers organize information relevant to due diligence, chain of custody, buyer reporting, certification preparation or regulatory workflows. However, Mizanta does not provide legal, regulatory, certification, accounting or professional advice.

Use of Mizanta does not by itself:

  • Establish compliance with the European Union Deforestation Regulation or any other law
  • Verify farm geolocation or deforestation status
  • Replace a required geospatial or risk-assessment system
  • Replace certification audits
  • Guarantee acceptance by a regulator, certifier, buyer or customs authority
  • Guarantee the accuracy of Customer Data
  • Guarantee market access, premium pricing or a commercial outcome

Customers remain responsible for understanding and meeting their own legal, contractual, regulatory and certification obligations.

7. Acceptable Use

You may use the Services only for lawful, authorized purposes.

You may not use the Services to:

  • Violate a law, regulation or third-party right
  • Enter information you are not authorized to collect or use
  • Submit false, fraudulent or intentionally misleading records
  • Falsify origin, weight, quality, certification, custody or traceability information
  • Conceal unauthorized substitutions or changes to coffee records
  • Infringe intellectual-property or privacy rights
  • Upload malicious code
  • Interfere with the operation or security of the Services
  • Probe, scan or test vulnerabilities without written authorization
  • Circumvent authentication, access controls or usage restrictions
  • Reverse engineer the Services except where applicable law expressly permits it
  • Scrape or extract information through unauthorized automated means
  • Resell, sublicense or provide unauthorized access to the Services
  • Use the Services to develop a directly competing product through systematic copying
  • Harass, threaten or harm another person
  • Store content that is unlawful, abusive or unrelated to legitimate organizational operations

We may investigate suspected violations and restrict or suspend access where reasonably necessary.

8. External and Buyer-Facing Information

The Services may allow a Customer to share selected traceability information with buyers, partners or other external viewers.

The Customer is responsible for:

  • Selecting the information to share
  • Confirming that it has authority to share it
  • Reviewing it for accuracy
  • Avoiding disclosure of confidential or restricted information
  • Understanding that recipients may retain information after viewing it

Mizanta may provide tools that limit visibility, but we cannot control how an authorized recipient uses information after receiving it.

9. Documents and Third-Party Content

Users may upload documents or reference third-party information.

The Customer represents that it has the necessary rights and permissions to upload, store and use such material.

Mizanta does not endorse or independently verify third-party documents, certifications, statements or links simply because they are stored or displayed through the Services.

10. Third-Party Services

The Services may depend on or interact with third-party providers, including infrastructure, database, email, storage, authentication, messaging and integration services.

Your use of a third-party service may also be subject to that provider's terms.

Mizanta is not responsible for third-party services outside our reasonable control. We may replace or modify service providers as needed to operate the Services.

11. Demonstrations, Trials and Pilots

Mizanta may provide demonstrations, evaluation accounts, pilot access or other limited-use services.

Unless otherwise agreed in writing:

  • Trial and pilot access may be limited in duration or functionality.
  • Demonstration data may be fictional or illustrative.
  • Demonstration environments should not be used for live confidential operations.
  • We may suspend or discontinue unpaid evaluation access.
  • Pilot results do not guarantee future functionality or commercial outcomes.

Any specific pilot scope, responsibilities, data arrangements or fees should be documented separately.

12. Fees and Payment

If Mizanta introduces paid subscriptions or implementation services, applicable fees, billing terms and renewal conditions will be stated in an order form, subscription page or separate agreement.

Unless otherwise agreed in writing:

  • Fees are stated in the applicable transaction currency.
  • Customers are responsible for applicable taxes other than taxes imposed on Mizanta's income.
  • Fees already earned are nonrefundable except where required by law or expressly stated otherwise.
  • Failure to pay amounts when due may result in suspension after reasonable notice.

If no paid plan has been accepted, this section does not create a payment obligation.

13. Intellectual Property

Mizanta and its licensors retain all rights in the Services, including the software, interface, workflow design, branding, documentation and related technology, excluding Customer Data.

These Terms grant you a limited, revocable, nonexclusive, nontransferable right to use the Services for your authorized organizational purposes during the applicable access period.

"Mizanta," its logos and associated branding may not be used without permission except to accurately identify the Services.

Feedback you voluntarily provide may be used by Mizanta to improve the Services without payment or restriction, provided that we do not publicly identify you or disclose your confidential information without permission.

14. Confidentiality

Each party may receive nonpublic information that should reasonably be understood as confidential.

The receiving party will:

  • Use confidential information only for the purposes of the relationship
  • Protect it with reasonable care
  • Limit access to people who need it and are subject to appropriate obligations
  • Not disclose it except as authorized or legally required

Confidential information does not include information that:

  • Becomes public without breach of an obligation
  • Was already lawfully known
  • Is received lawfully from another source
  • Is independently developed without use of the confidential information

If disclosure is legally required, the receiving party may disclose the minimum required information and, where legally permitted, provide notice.

15. Privacy

Our collection and use of personal information are described in the Mizanta Privacy Policy.

Customers using Mizanta to process personal information are responsible for determining whether an additional data-processing agreement is required.

16. Security

Mizanta uses reasonable measures intended to protect the Services and information processed through them.

No service can guarantee complete security or uninterrupted operation.

Customers and Users must maintain appropriate account security and notify us promptly of suspected unauthorized access at support@getmizanta.com.

17. Service Availability and Changes

We aim to provide reliable access, but the Services may occasionally be unavailable because of:

  • Maintenance
  • Updates
  • Internet or infrastructure failures
  • Third-party service interruptions
  • Security incidents
  • Events beyond reasonable control

Unless a separate written service-level agreement applies, Mizanta does not guarantee a particular uptime percentage, response time or recovery period.

We may perform maintenance and make changes reasonably necessary to protect or improve the Services.

18. Suspension and Termination

You may stop using the Services at any time.

An organization may request account closure in accordance with its applicable agreement.

We may restrict, suspend or terminate access when:

  • These Terms are materially violated
  • Access creates a security or legal risk
  • Required fees remain unpaid
  • The Services are used fraudulently or unlawfully
  • An account is compromised
  • We are legally required to do so
  • An unpaid demonstration, trial or pilot ends

Where reasonable, we will provide notice and an opportunity to correct a violation before termination. Immediate action may be taken where necessary to prevent harm.

Upon termination:

  • The right to use the Services ends.
  • Users must stop accessing the Services.
  • Customer Data will be handled according to the applicable agreement, Privacy Policy and retention requirements.
  • Provisions that by their nature should survive will remain effective.

Customers should request any available data export before account closure.

19. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available."

Mizanta disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, title and noninfringement.

We do not warrant that:

  • The Services will always be uninterrupted or error-free
  • Every defect will be corrected immediately
  • Customer Data will be accurate or complete
  • The Services will satisfy every regulatory or contractual requirement
  • Use of the Services will produce a specific commercial outcome
  • Third-party services will remain available

Nothing in these Terms excludes a warranty that cannot lawfully be excluded.

20. Limitation of Liability

To the maximum extent permitted by law, Mizanta will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, business opportunities or data, arising from or related to the Services.

To the maximum extent permitted by law, Mizanta's total liability arising from or related to the Services will not exceed the amount the Customer paid to Mizanta for the Services during the twelve months preceding the event giving rise to the claim.

For free, demonstration or pilot access for which no fees were paid, total liability will not exceed one hundred United States dollars.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

A negotiated enterprise agreement may establish different liability terms.

21. Indemnification

To the extent permitted by law, a Customer agrees to defend and indemnify Mizanta against third-party claims arising from:

  • Customer Data
  • The Customer's unlawful use of the Services
  • The Customer's violation of these Terms
  • The Customer's violation of another person's rights
  • Decisions or representations made using unverified operational data

This obligation does not apply to the extent a claim was caused by Mizanta's breach, negligence or willful misconduct.

22. Governing Law and Disputes

Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Before filing a formal claim, each party agrees to make a reasonable good-faith effort to resolve the dispute through written communication.

Any legal proceeding that is not resolved informally will be brought in a court with appropriate jurisdiction in Texas, unless applicable law requires another forum.

This section does not prevent either party from seeking urgent injunctive relief where appropriate.

23. Changes to These Terms

We may update these Terms as the Services, our practices or applicable requirements change.

We will revise the "Last updated" date when changes are made. If a change materially affects existing Users or Customers, we may provide additional notice.

Changes will apply prospectively. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.

Material changes to an active negotiated customer agreement will be governed by that agreement.

24. General Provisions

These Terms and any applicable order form or written agreement constitute the agreement concerning the Services covered by them.

If there is a conflict, a signed written agreement or order form takes precedence over these general Terms for the subject it covers.

If a provision is found unenforceable, the remaining provisions will remain effective.

Failure to enforce a provision is not a waiver.

You may not assign your rights under these Terms without our consent. Mizanta may assign these Terms as part of a merger, restructuring, financing or sale of all or substantially all relevant assets.

Neither party is liable for failure caused by events beyond its reasonable control, except for payment obligations.
